SYLMAR, Calif., Oct 18, 2010 (BUSINESS WIRE) -- Tutor Perini Corporation (NYSE: TPC), a leading civil and building construction company, today announced that it has priced its previously announced offering of Senior Notes ("Notes").
The face value of the Notes is $300 million, with an interest rate of 7.625%. The Notes were priced at 99.258% of face value. The Notes will mature on November 1, 2018.
The Notes will be sold to qualified institutional buyers pursuant to Rule 144A and to certain persons outside the United States pursuant to Regulation S, each under the Securities Act of 1933, as amended (the "Securities Act"), with closing expected to occur on October 20, 2010, subject to customary closing conditions.
The Notes have not been and will not be registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
